| ROLE AND RESPONSIBILITIES |
| Andrew is responsible for the
efficient and effective management of Key Capital. This includes responsibility
for sourcing properties for acquisition, researching and vetting them in
accordance with Key Capital’s acquisition criteria, conducting a critical
analysis of the financials — with an emphasis on investment returns,
negotiating purchase prices and terms, filtering and selecting financiers,
engaging and managing third party experts (such as lawyers, valuers, surveyors
and property managers), settling the contracts, issuing Product Disclosure
Statements, liaising with ASIC, and marketing. |

Andrew has an outstanding track record of initiating and managing imaginative
private capital raisings, deal structuring, acquisitions and divestment
nationally and internationally. He was a Partner (Tax Consulting) at Deloitte
Touche Tohmatsu, Chairman of the Asian Pacific Tax Group, has provided advice
and project management on a number of headline transactions and has an
excellent understanding of Australian and international tax, corporate and
business law. |

| Andrew has been conducting property
and property-related transactions since 1985. He has comprehensive knowledge of
the statutory regulations that apply to property syndication, and substantial
experience in financial analysis of property structures — including the
restructuring of a number of landmark commercial properties in Melbourne.
Andrew also brings considerable skills in developing and implementing
strategies for the ongoing management of assets, sourcing and managing property
managers, evaluating their performance and ensuring that they deliver on their
commitments and add value to investors. |
